Terms of Trade
These Terms of Trade apply to all business transactions with Interlab Ltd, including supply of goods, services, trade account purchases, and any ongoing commercial relationship unless otherwise agreed in writing.
Application
These Terms of Trade apply to all quotations, sales, deliveries, and supply arrangements made by Interlab Ltd. By placing an order or maintaining a trade account with Interlab, the customer agrees to these terms.
Quotations
Any quotation provided by Interlab is subject to change and is valid for the period stated on the quotation, unless withdrawn earlier. A quotation does not bind Interlab to supply until an order has been accepted.
Pricing
All prices are in New Zealand Dollars and exclude GST unless stated otherwise. Prices may change without notice. Interlab reserves the right to correct pricing or product errors at any time.
Payment Terms
Unless otherwise agreed in writing, payment is due by the 20th of the month following invoice. Interlab may require payment in advance, a deposit, or immediate payment before dispatch for some orders or customers.
Overdue Accounts
If payment is overdue, Interlab may suspend further supply, place the account on hold, cancel credit privileges, or take steps to recover outstanding amounts. The customer is responsible for any reasonable costs incurred in recovering overdue debts.
Credit Accounts
Trade credit accounts are granted at Interlab’s discretion and may be amended, limited, or withdrawn at any time. The customer must ensure all account information provided is accurate and current.
Ownership of Goods
Ownership of goods supplied by Interlab remains with Interlab until all amounts owing by the customer have been paid in full. Until ownership passes, the customer must keep the goods identifiable and in good condition.
Risk
Risk in the goods passes to the customer upon delivery or collection, whichever occurs first. The customer is responsible for insurance and care of the goods from that point onward.
Delivery
Interlab will make reasonable efforts to dispatch goods promptly. Any delivery dates provided are estimates only. Interlab is not liable for loss or damage arising from delays in dispatch or delivery.
Partial Supply and Backorders
Interlab may deliver goods in instalments or part-ship orders where appropriate. If an item is out of stock or on backorder, the customer may be notified and offered alternatives, delayed dispatch, or cancellation of the affected item.
Special Order Items
Special indent, non-stocked, or customer-specific items may not be cancelled or returned once ordered, unless otherwise agreed by Interlab in writing.
Inspection and Claims
The customer must inspect goods on delivery and notify Interlab within a reasonable time if goods are damaged, incorrect, or short supplied. Failure to do so may be taken as acceptance of the goods.
Returns
Returns are subject to Interlab’s Returns Policy. No goods may be returned without prior approval from Interlab.
Warranty
Products supplied by Interlab are subject to applicable manufacturer warranties and any express warranty stated by Interlab. Warranty claims must be made promptly and supported by proof of purchase and details of the issue.
Limitation of Liability
To the maximum extent permitted by law, Interlab is not liable for any indirect, consequential, or economic loss, including loss of profit, loss of production, loss of use, or business interruption arising from the supply or use of goods or services.
Consumer Guarantees Act and Fair Trading Act
Where goods are acquired for business purposes, the customer agrees that the Consumer Guarantees Act 1993 does not apply to the extent permitted by law. Nothing in these Terms of Trade limits any rights a consumer may have under applicable legislation.
Force Majeure
Interlab is not liable for any failure or delay in performing its obligations where the failure or delay is caused by events beyond its reasonable control.
Governing Law
These Terms of Trade are governed by the laws of New Zealand, and any dispute arising in connection with them shall be subject to the jurisdiction of the New Zealand courts.
Changes to Terms
Interlab may update these Terms of Trade from time to time. The current version published on this website will apply from the date of publication unless otherwise agreed.
